Terms of Service

These Terms govern your use of the Invonio service operated by Talivio Technology OÜ ("Talivio", "we"). By creating an account you agree to them.

1. The service

Invonio generates, validates, delivers, receives and archives electronic invoices (ZUGFeRD, Factur-X, XRechnung, and Peppol where configured) on your behalf. It is intended for use by businesses and self-employed professionals, not consumers acting outside a trade or profession.

2. Your account & business data

You are responsible for the accuracy of the business and invoice data you enter — Invonio generates documents from what you provide and validates their structure, but does not verify the truthfulness of the underlying business transaction.

The choice of VAT treatment (rates, exemptions such as § 19 UStG small-business status, reverse charge) and the tax correctness of each invoice remain your responsibility. Invonio is a tool, not a tax adviser.

Where invoices you process through Invonio contain personal data of your customers or suppliers, our Data Processing Agreement applies to that data.

3. Subscription & the Founding Price

There is no free tier — an active paid subscription with a valid payment method is required to use the service.

For a limited number of seats, we offer a "Founding Price": an annual price that, once you subscribe under it, remains locked to your account for as long as your subscription stays active and uninterrupted — even if the list price for new subscribers rises later. Cancelling your subscription ends the founding price; resubscribing later is at the list price then in effect. Prices are billed annually or monthly as stated at checkout, in EUR, and exclude VAT where applicable. Subscriptions may be cancelled at any time via the billing portal; access continues until the end of the paid period.

Outside the Founding Price lock, we may change list-tier subscription prices going forward. We will notify affected subscribers by email at least 30 days before a price change takes effect; continuing to use the service after that date means you accept the new price, and you may cancel before then if you do not.

4. Compliant delivery is not legal advice

Invonio validates invoices against the EN 16931 semantic data model and applicable business rules where a validator is configured. This checks the structure and completeness of the document; it does not constitute tax or legal advice, and does not guarantee acceptance by any specific recipient, tax authority, or platform.

5. Archiving & your retention obligations

Invonio stores an archive of the invoice documents you send and receive, with tamper-evident checksums, for as long as your account exists. Statutory retention obligations for invoices — roughly 5 to 10 years depending on the member state (for example PL 5, ES 6, NL/EE 7, DE 8, FR/IT 10 years), running from the end of the financial year — remain yours. Deleting your account permanently deletes this archive, so export your documents first; even without an active subscription you can still export or delete your data from your account.

The service is provided "as is" and "as available". We may change, suspend, or discontinue non-essential features at any time; we will not remove your ability to export or delete your data.

8. Limitation of liability

To the maximum extent permitted by law, Talivio is not liable for any indirect, incidental or consequential damages, or loss of profits, or for decisions made in reliance on validation results or generated documents. Our total aggregate liability arising out of or in connection with these Terms is limited to the greater of (a) the fees you paid to us in the 12 months preceding the event giving rise to the claim and (b) EUR 100. This limitation does not apply to liability that cannot be limited under mandatory law, including liability for intent (wilful misconduct) or gross negligence, for death or personal injury, or under mandatory consumer-protection law.

9. Governing law

These Terms are governed by the laws of Estonia, excluding its conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction is the Harju County Court (Harju Maakohus) in Tallinn, Estonia. Talivio Technology OÜ is registered in Tallinn, Estonia (Reg. 16991406). Nothing in this clause deprives you of the protection of mandatory provisions of the law of your country of habitual residence or establishment that cannot be derogated from by agreement.
